Terms of Service

Welcome to Capsule Study! These Terms of Service ("Terms") govern your access to and use of the Capsule Study websites, applications, and related services (collectively, the "Service"), operated by Lantern Studio LLC ("Capsule Study", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You may use the Service only if you can form a binding contract with Lantern Studio LLC under applicable law.

• You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service.
• If you are under 18 (or the age of majority in your jurisdiction), you may use the Service only with the involvement of a parent, guardian, school, or other authorized adult where required.
• If you use the Service on behalf of an organization (such as a school, company, or team), you represent that you have authority to bind that organization to these Terms.
• We may refuse, suspend, or terminate access to the Service at our discretion, including where we believe eligibility requirements are not met.

2. Your Account

To use most features of the Service, you must create an account.

You agree to:

• Provide accurate, current, and complete information when creating your account.
• Keep your login credentials confidential and secure.
• Be responsible for all activity that occurs under your account.
• Notify us promptly of any unauthorized access or suspected security issue.

You may sign in using a third-party authentication provider (such as Google). Your use of that provider is subject to its own terms.

3. The Service

Capsule Study provides AI-powered study and note-taking tools that allow you to:

• Record, upload, or import lectures, recordings, files, links, and other learning materials.
• Generate notes, transcripts, summaries, flashcards, quizzes, mind maps, audio recaps, chat answers, and review tasks.
• Organize, store, search, and share study content.
• Use related features that we may add, change, or remove over time.

We may update, modify, or discontinue features at any time. Some features may be offered only on certain plans, regions, or platforms.

4. Your Content

4.1 Ownership

You retain ownership of the content you upload, record, import, create, or transmit through the Service ("User Content"). We do not claim ownership of your User Content.

4.2 License to Capsule Study

To operate the Service, you grant Lantern Studio LLC a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, display, modify (e.g., for formatting, transcription, OCR, embedding, or AI processing), and create derivative works from your User Content solely for the purpose of providing, securing, maintaining, and improving the Service for you.

If you share User Content with other users (for example, through a workspace, share link, or published study kit), you also grant those users the rights necessary to access and use that content within the Service.

This license ends when you delete the relevant User Content or your account, except:

• to the extent the content has already been shared with others, who may retain copies; and
• as needed for backups, legal compliance, security, and dispute resolution, as described in our Privacy Policy.

4.3 Your Responsibilities for User Content

You are solely responsible for your User Content. You represent and warrant that:

• You own your User Content, or have obtained all rights, licenses, consents, and permissions necessary to provide it to us and to use it through the Service.
• Your User Content does not violate any law, contract, intellectual property right, privacy right, publicity right, or other right of any person or entity.
• Where applicable law requires consent to record or process the voice, image, or personal information of others (such as classmates, teachers, or other individuals), you have obtained that consent.
• Your User Content does not include highly sensitive personal information unless necessary, and you have the right to provide it.

We are not obligated to monitor User Content, but we may review, restrict, or remove content that we believe violates these Terms or applicable law.

5. AI Features and Outputs

The Service uses artificial intelligence to generate outputs such as notes, summaries, transcripts, flashcards, quizzes, mind maps, audio recaps, and chat answers ("AI Outputs").

You acknowledge and agree that:

• AI Outputs may be inaccurate, incomplete, or misleading. You should independently verify important information before relying on it.
• You should not rely on AI Outputs for high-stakes purposes, including medical, legal, financial, safety-critical, or academic-integrity decisions, without independent review.
• AI Outputs may not be unique. Similar inputs may produce similar outputs for other users. We make no guarantee of exclusivity in AI Outputs.
• Subject to your compliance with these Terms, as between you and Capsule Study, you own the AI Outputs generated specifically from your inputs, to the extent permitted by applicable law and our service providers' terms.
• You are responsible for how you use AI Outputs, including ensuring that such use complies with applicable laws, your school or institution's policies (such as academic honesty rules), and the rights of others.
• We may use de-identified or aggregated information about prompts, outputs, and usage to operate, secure, and improve the Service, as described in our Privacy Policy.

6. Acceptable Use

You agree not to use the Service to:

• Violate any law, regulation, or third-party right.
• Infringe intellectual property, privacy, publicity, confidentiality, or contractual rights.
• Upload or generate content that is unlawful, harmful, harassing, defamatory, hateful, violent, sexually explicit involving minors, or otherwise objectionable.
• Record or process other people's voices, images, or personal information without required consent.
• Use the Service to cheat or engage in academic dishonesty in violation of your institution's policies.
• Attempt to reverse engineer, decompile, scrape, or extract source code, models, prompts, or underlying data of the Service, except to the extent permitted by applicable law.
• Use bots, crawlers, scripts, or automated tools to access the Service in ways not authorized by us.
• Bypass, disable, or interfere with security, rate-limiting, authentication, or access-control features.
• Use the Service to develop or train a competing product, AI model, or dataset.
• Resell, sublicense, or commercially redistribute the Service or AI Outputs without our written permission.
• Interfere with or disrupt the Service, our infrastructure, or other users.
• Upload viruses, malware, or other harmful code.
• Use the Service in any manner that could damage, disable, overburden, or impair the Service.

We may investigate and take appropriate action against violations, including removing content, suspending access, terminating accounts, and reporting to authorities.

7. Sharing and Collaboration

The Service allows you to share User Content with others (for example, through workspaces, invitations, share links, or published study kits).

• When you share content, recipients may view, copy, download, or further distribute it, depending on the features used.
• Once content is shared via a public link or published, our ability to control further use is limited.
• You are responsible for choosing what to share and with whom.
• If you receive shared content from others, you must use it only as permitted by the sharer and by applicable law, and you must respect intellectual property and privacy rights.

8. Plans, Payments, and Subscriptions

8.1 Plans

The Service may be offered under free, paid, or trial plans. Available features, limits, and pricing may differ by plan, region, and platform.

8.2 Billing

If you purchase a paid plan:

• You authorize us, or our payment processor, to charge your selected payment method for the applicable fees, taxes, and recurring charges.
• Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) until cancelled.
• You are responsible for keeping your billing information accurate and current.

8.3 Renewals and Cancellation

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You can cancel at any time through your account settings or the applicable app store. Cancellations take effect at the end of the current billing cycle.

8.4 Refunds

Except where required by applicable law, payments are non-refundable, and we do not provide refunds for partially used periods or unused features.

8.5 Price Changes

We may change prices, plans, or features. Where required, we will give you advance notice. Continued use of paid plans after a price change means you accept the new price.

8.6 App Store Purchases

If you purchase through a third-party app store (such as Apple App Store or Google Play), additional terms from that store may apply, and billing and refunds may be handled by that store.

9. Third-Party Services

The Service may integrate with or link to third-party services (such as authentication providers, payment processors, AI providers, storage providers, and external content sources). We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

10. Intellectual Property

10.1 Our IP

The Service, including its software, design, branding, logos, text, graphics, models, prompts, templates, and other materials we provide (excluding User Content and AI Outputs), is owned by Lantern Studio LLC or its licensors and is protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal use.

10.2 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant Lantern Studio LLC a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without obligation to you.

10.3 Copyright Complaints

If you believe content on the Service infringes your copyright, contact us at support@capsulestudy.app with sufficient information to identify the work, the allegedly infringing content, and your contact details. We will respond consistent with applicable law, including the U.S. Digital Millennium Copyright Act (DMCA) where applicable.

11. Termination

11.1 By You

You may stop using the Service at any time and may delete your account through the Service or by contacting us.

11.2 By Us

We may suspend, restrict, or terminate your access to the Service, with or without notice, if:

• you violate these Terms or applicable law,
• your use creates risk or legal exposure for us, other users, or third parties,
• we are required to do so by law, or
• we discontinue the Service or a relevant feature.

11.3 Effect of Termination

Upon termination:

• Your right to use the Service ends.
• We may delete your account and User Content, subject to retention practices described in our Privacy Policy.
• Sections of these Terms that by their nature should survive (such as IP, disclaimers, limitations of liability, indemnity, and dispute-resolution provisions) will survive.

12. Disclaimers

THE SERVICE AND ALL AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LANTERN STUDIO LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND TITLE.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
• AI OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PURPOSE;
• DEFECTS WILL BE CORRECTED;
• THE SERVICE OR ANY SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOU USE THE SERVICE AND AI OUTPUTS AT YOUR OWN RISK.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• LANTERN STUDIO LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST GOODWILL, OR ACADEMIC OR PROFESSIONAL CONSEQUENCES, ARISING OUT OF OR RELATING TO THE SERVICE OR AI OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In such cases, our liability is limited to the maximum extent permitted by applicable law.

14. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Lantern Studio LLC and its affiliates, officers, employees, agents, and licensors from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• your User Content;
• your use or misuse of the Service or AI Outputs;
• your violation of these Terms or applicable law; or
• your violation of any third-party right, including intellectual property, privacy, or publicity rights.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules.

Subject to applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of Wyoming, and you and Lantern Studio LLC consent to the personal jurisdiction and venue of those courts.

If you are a consumer in a jurisdiction whose laws require disputes to be resolved in your local courts under local law, those mandatory rights remain unaffected.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms on this page, changing the "Last Updated" date, or notifying you through the Service.

Your continued use of the Service after the updated Terms take effect means you accept the changes. If you do not agree, you must stop using the Service.

17. Miscellaneous

Entire Agreement. These Terms and our Privacy Policy are the entire agreement between you and Lantern Studio LLC regarding the Service.

Severability. If any provision is held unenforceable, the remaining provisions remain in effect.

No Waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

No Agency. Nothing in these Terms creates an agency, partnership, employment, or joint-venture relationship.

Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.
